Terms of Use

These Terms govern access to and use of Equine Workspace websites, software, applications, digital products, free tools, resources, communications, and related services. By using any part of the Services, you confirm that you have read, understood, and agree to be bound by these Terms.

If you are using the Services on behalf of a business, you confirm that you have authority to bind that business, and the business agrees to these Terms through you.

To create an account or purchase any product, you must be at least 18 years of age and legally capable of entering into a binding agreement.

• You agree to provide accurate and complete account information and to keep it current.
• You are responsible for keeping your credentials secure and for all activity under your account.
• You are responsible for anyone you authorize to use your account.
• Businesses are responsible for the users they authorize within their accounts.

A business may provide equine services involving minors. This does not permit minors to independently create or purchase a Equine Workspace account. Accounts and purchases are intended for adults who are legally capable of entering into this agreement.

Equine Workspace provides cloud-based business software and digital tools for equine businesses and professionals. Depending on your plan, product, configuration, or add-ons, functionality may include:

• CRM and contact management
• Client and horse records
• Conversations and communications
• Calendars and scheduling
• Sales and opportunity tracking
• Estimates and invoices
• Payment-related functionality
• Documents and electronic signatures
• Forms, surveys, and questionnaires
• Client portals
• Task and operational management
• Dashboards and reporting
• Workflow automation
• Social and email marketing tools
• Websites and e-commerce functionality
• Integrations
• AI-assisted functionality
• Voice-enabled functionality
• Business planning
• Equine Ops
• Equine Business Planner
• Future Equine Workspace applications and services

Not every feature is included with every subscription. Features may depend on your plan, configuration, add-ons, third-party providers, usage fees, availability, or a separate purchase.

Customers remain responsible for:

• The accuracy of information entered into the Services
• The lawful collection and use of data
• Having the permissions needed to upload information
• Account security
• Their employees and authorized users
• Their own business practices
• Compliance with laws applicable to their business
• Reviewing information and outputs before acting on them

Customers retain ownership of their own content and business data. Customers provide Equine Workspace with the limited rights necessary to host, process, transmit, organize, display, back up, and otherwise handle that information to provide, secure, support, and improve the applicable services.

Information customers may store includes records concerning clients, prospective clients, horses, owners, employees and team members, vendors, appointments, services, payments and transactions, documents, communications, and other business records.

Equine Workspace may help businesses organize horse-related information and operational records. Equine Workspace does not provide veterinary advice, diagnosis, treatment, farrier advice, professional animal-care advice, or emergency services.

Users remain responsible for verifying important horse health, care, medication, veterinary, farrier, ownership, competition, transportation, and similar information against appropriate source records and qualified professionals.

Equine Workspace may provide AI-powered or automated features, including AI assistants, conversational interfaces, content generation, summaries, analysis, recommendations, suggested actions, workflow automation, chat, voice-enabled functionality, automated communications, and other AI-assisted functionality.

• AI output can contain inaccuracies, omissions, or errors.
• Users must review and verify important output before relying on it.
• AI is an assistive business tool, not a source of professional advice.
• AI output is not legal, financial, accounting, tax, veterinary, medical, regulatory, or other professional advice.
• Users remain responsible for decisions and actions taken using AI output.
• Users must have the appropriate rights and permissions for information submitted to AI features.
• Some AI functionality may use third-party technology or providers.
• Some features may require separate activation, a subscription, usage charges, or add-ons.

For AI calling, voice, messaging, or communications, customers are responsible for applicable consent, disclosure, recording, telemarketing, privacy, and communications requirements.

Communication functionality may include email, SMS and text messaging, telephone, voicemail, WhatsApp, automated communications, AI-assisted communications, and AI voice functionality.

Users are responsible for:

• Maintaining lawful contact lists
• Obtaining appropriate permissions and consents
• Honoring opt-out requests
• Complying with applicable marketing and telemarketing rules
• Providing recording and transcription disclosures and consent where required
• The content of their communications

Third-party carrier or provider fees and usage charges may apply. Equine Workspace does not guarantee delivery of any communication.

It is important to distinguish between two different kinds of payments: (A) the fees customers pay to Equine Workspace for our products and services, and (B) the payments an Equine Workspace customer collects from their own customers through connected payment functionality.

Equine Workspace customers may connect their own supported third-party payment provider or account. Equine Workspace does not take a percentage of the customer's underlying equine-business transactions.

Customers remain responsible for:

• Establishing and maintaining their own payment-provider account
• The terms of their payment processor
• Processor fees
• Refunds
• Chargebacks
• Payment disputes
• Taxes
• Transaction accuracy
• The products and services sold
• Customer authorization
• Compliance related to their transactions

Equine Workspace is not the merchant, seller, service provider, or party to the underlying transaction between an equine business and its customer merely because Workspace functionality is used to create an invoice, estimate, payment request, checkout, or transaction record.

Where customers use e-commerce functionality, they remain responsible for the products and services offered, descriptions, pricing, taxes, fulfillment, shipping where applicable, returns and refunds, customer service, required disclosures, and legal compliance.

Equine Workspace may provide document, form, template, agreement, and electronic-signature functionality.

The customer remains responsible for determining whether a document is appropriate, its legal sufficiency, required disclosures, signatures and consents, recordkeeping, and obtaining professional or legal review where appropriate.

Equine Workspace does not provide legal advice merely by providing document or electronic-signature functionality.

Free tools may include calculators, assessments, planning tools, guides, educational resources, templates, reports, and interactive tools.

• Results depend on user inputs and assumptions.
• Outputs are informational and business-planning resources and are not guaranteed.
• They are not legal, tax, accounting, financial, veterinary, or other professional advice.
• Users should verify information before relying on it.

Additional notices displayed within an individual tool are incorporated where applicable.

The Equine Business Planner is a business planning tool. Calculations, scenarios, projections, revenue plans, expense plans, capacity assumptions, goals, and other outputs are based on information entered by the user.

No financial outcome, profitability, revenue, or business result is guaranteed.

Equine Ops is an operational coordination and work-management tool. Assignments, schedules, workload information, reminders, checklists, horse and location information, alerts, reports, and similar functionality are organizational tools.

Users remain responsible for real-world supervision, animal care, safety, staffing, emergency response, and verifying that required work has actually been completed.

Equine Workspace may integrate with or rely upon third parties for hosting, communications, payment processing, AI, automation, cloud storage, analytics, authentication, email, calendars, social platforms, websites and e-commerce, infrastructure, and other integrations.

Third-party services may have their own terms, privacy practices, pricing, limits, outages, or requirements. Equine Workspace is not responsible for independent third-party services outside our reasonable control.

Subscription services may be monthly or annual. Unless clearly stated otherwise:

• Subscriptions automatically renew.
• Fees are charged at the beginning of the applicable billing period.
• Users may cancel at any time.
• Cancellation becomes effective at the end of the current paid billing period.
• Access continues through the remainder of that paid term.
• Cancellation completed before renewal prevents the next renewal.
• Subscription payments are non-refundable.
• No prorated or partial refunds are provided for unused time, except where required by law.

Failed payments may result in restricted or suspended access. Subscriptions do not involve a long-term contract beyond the selected paid billing term.

Standalone one-time digital purchases, including the Equine Business Planner where sold as a one-time purchase, are non-refundable once purchased or access is provided, except where required by applicable law.

Third-party marketplace purchases, including purchases through platforms such as Etsy where applicable, may also be subject to the marketplace's applicable payment, transaction, refund, or buyer-protection rules.

Some functionality may require a separate purchase, be usage-based, carry third-party charges, require separate activation, or vary by subscription plan. Not every feature is included with every plan.

Equine Workspace may offer website services, setup and configuration, implementation, customization, or other professional services.

Specific project scope, pricing, deliverables, timelines, support, and ownership or licensing terms may be governed by an applicable proposal, order, service agreement, or written project terms.

If specific written project terms conflict with these general Terms regarding that project, the specific written terms control for that scope.

Equine Workspace does not guarantee uninterrupted access, error-free operation, uptime, or any particular business results, leads, revenue, profitability, customer acquisition, or productivity improvement.

Features may evolve, change, be replaced, limited, or discontinued.

You agree not to engage in any of the following:

• Unlawful use
• Fraud
• Impersonation
• Harassment
• Spam
• Malicious code
• Unauthorized access
• Scraping or abusive automated extraction
• Interference with security
• Infringement
• Misuse of third-party data
• Illegal communications
• Unauthorized recording
• Abuse of AI functionality

Customers retain ownership of their customer content. Equine Workspace retains rights in its branding, site copy, product design, software, templates owned by Equine Workspace, workflows, graphics, interfaces, proprietary materials, and other protected intellectual property.

Equine Workspace does not claim ownership over third-party software or customer-owned materials.

The Services may contain links to third-party websites or services that Equine Workspace does not control. Equine Workspace is not responsible for the content, practices, or availability of those third-party sites.

Your use of the Services is also governed by the Equine Workspace Privacy Policy, which explains how we collect, use, and handle information.

To the fullest extent permitted by law, the Services are provided on an "as is" and "as available" basis. Equine Workspace disclaims all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except where applicable law does not allow such disclaimers.

Equine Workspace does not warrant that the Services will meet your specific requirements, that they will be uninterrupted or error-free, or that results will be accurate or reliable.

To the fullest extent permitted by law, in no event will Equine Workspace be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or related to the Services.

To the fullest extent permitted by law, Equine Workspace's aggregate liability for any claim arising out of or related to the Services is limited to the fees paid by the customer to Equine Workspace for the applicable service during the 12 months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits any rights that cannot legally be waived under applicable law.

To the extent permitted by law, you agree to indemnify and hold Equine Workspace harmless from claims, damages, and reasonable expenses arising from your content, your use of the Services, your violation of law or these Terms, your communications, your transactions with your clients, or infringement caused by materials you supply.

Equine Workspace is not liable for any delay or failure to perform that results from causes beyond our reasonable control, including acts of nature, internet or infrastructure outages, third-party service failures, or other events outside our reasonable control.

Equine Workspace may suspend or terminate access for violations of these Terms, unlawful use, security risk, abuse, nonpayment, fraud, or serious platform misuse.

Upon termination, your access to the Services may end. You may have a limited opportunity to retrieve your data before access is removed, where reasonably possible and permitted by the circumstances.

Equine Workspace may update these Terms from time to time. For material changes, Equine Workspace may provide notice where appropriate or required by law. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms, except where applicable law requires additional notice or consent.

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict-of-law principles, except where applicable law requires otherwise.
